Terms of Service

Yekar.AI ("Yekar.AI", "we", "us") provides an agent management system at app.yekar.ai - a platform for building, running, and governing AI agents. These terms govern your access to the website and platform. By accessing the service, you agree to them and to our Privacy Policy.

You must be at least 18 and legally able to enter into this agreement. If you use the service for a business or other organization, you represent that you have authority to accept these terms for that organization. In these terms, "Organization" means the organization that obtains or controls the workspace, and "Authorized User" means each person it permits to use the service. If you use the service personally, references to the Organization include you.

A signed order form, customer agreement, or data processing agreement may also apply. If it conflicts with these terms, the signed agreement controls for the subject it addresses.

Subject to these terms, Yekar.AI grants the Organization and its Authorized Users a limited, non-exclusive, non-transferable, and revocable right to access and use the service during the applicable subscription or access period for the Organization's internal business purposes and permitted platform use cases. No rights are granted except those expressly stated.

The Organization controls its workspace and may appoint administrators who can invite or remove users, configure permissions and connections, inspect workspace activity, and access, export, or delete workspace content. Authorized Users must follow the Organization's policies and instructions. Questions about an Organization's use of workspace content should be directed to its administrators.

You must provide accurate account information, keep sign-in credentials secure, and use only your own account. The Organization is responsible for its Authorized Users and activity performed through its workspace, including activity resulting from its agent, model, connection, and permission configurations. Notify us promptly if you believe an account or credential has been compromised.

As between Yekar.AI and the Organization, the Organization retains its rights in the instructions, data, documents, configurations, inputs, and other material it submits to the service ("Organization Content"). The Organization grants Yekar.AI a worldwide, limited right to host, copy, transmit, modify, and process Organization Content only as needed to provide, secure, support, and improve the service, comply with law, and exercise the rights described in these terms.

To the extent permitted by applicable law and subject to third-party rights, the Organization owns the output produced for it by the service. AI output may not be unique, and other users may receive similar output. The Organization is responsible for ensuring that it has the rights, notices, and permissions needed for Organization Content, connected accounts, and the processing it directs.

Yekar.AI does not use Organization Content to train general-purpose AI models. We may generate and use aggregated or de-identified service data that does not identify the Organization, an Authorized User, or any individual to operate, analyze, secure, and improve the service.

Agents can read data and take actions in connected systems. The Organization is responsible for deciding what each agent may access, which credentials and identity it uses, which actions require approval, and whether an agent's operation complies with law and the Organization's obligations. The Organization must test and monitor agents, apply appropriate permissions, and maintain meaningful human review for consequential or irreversible actions.

AI-generated content can be inaccurate, incomplete, offensive, or unsuitable. Do not treat output as professional, legal, medical, financial, or other expert advice. Do not use the service or its output as the sole basis for decisions affecting a person's employment, credit, housing, insurance, healthcare, legal rights, or similarly significant interests without appropriate human review and compliance controls.

The service can call third-party AI models and connect to third-party applications. The Organization may use its own provider credentials or, where offered, a Yekar.AI-managed provider connection. The Organization is responsible for selecting suitable providers, complying with their terms and usage limits, and paying charges billed directly to it. Managed provider usage may be subject to separate allowances, metering, and fees.

Yekar.AI does not control third-party services and is not responsible for their availability, security, outputs, changes, or handling of information. Enabling an integration authorizes Yekar.AI to exchange data with that service as directed by the Organization's configuration.

You must not, and must not enable another person to:

• use the service unlawfully or violate another person's rights, privacy, or contractual obligations;
• submit content or direct actions without the required rights, notices, consent, or lawful authority;
• generate or distribute malware, harmful code, phishing, spam, fraud, or deceptive impersonation;
• probe, scan, disrupt, overload, bypass, or gain unauthorized access to the service, another workspace, or any connected system;
• reverse engineer, copy, scrape, resell, or use the service to build a competing product except where the law expressly prevents this restriction;
• remove proprietary notices or misrepresent the source, capabilities, or output of an agent;
• circumvent usage, security, approval, permission, billing, or rate-limit controls; or
• use the service in a way prohibited by a model provider or connected service used for that activity.

Yekar.AI and its licensors own the service, software, interfaces, documentation, designs, trademarks, and related technology, including improvements and derivative works. Organization Content and output are not included in Yekar.AI technology. If you provide suggestions or feedback, you grant Yekar.AI a perpetual, worldwide, royalty-free right to use it without restriction or obligation to you.

Fees, plan limits, subscription periods, managed model allowances, and payment terms are described in the applicable plan, order, or customer agreement. Unless that document states otherwise, fees are due in advance, usage-based charges are due after they are incurred, and fees are non-cancellable and non-refundable except where required by law. The Organization is responsible for applicable taxes other than taxes on Yekar.AI's income. We may suspend paid features if undisputed amounts remain overdue after reasonable notice.

We may offer preview, beta, trial, or experimental features. They may change, stop, or contain errors and are provided for evaluation without service commitments. Do not use them for production workloads or sensitive information unless we expressly state that the feature is ready for that use.

Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only to perform or receive the service and will protect it using reasonable care. This obligation does not apply to information independently developed without use of the confidential information, lawfully received without restriction, or publicly available through no breach. A party may disclose information when legally required after giving notice where permitted.

Our Privacy Policy explains how we handle personal information. The Organization is responsible for determining whether the service is appropriate for the data it submits and for configuring retention, access, connections, and approvals accordingly. Additional security or data processing terms apply only when agreed in writing.

We may modify, add, or remove service features and may set reasonable technical and usage limits. We will not materially reduce the core functionality of a paid subscription during its committed period without notice, except when required for security, law, third-party changes, or to prevent harm. Service levels apply only if stated in a signed agreement.

The Organization may stop using the service at any time, subject to its payment commitments. We may suspend or terminate access if an account breaches these terms, creates a security or legal risk, could harm the service or another person, or has overdue fees. Where practical, we will give notice and an opportunity to resolve the issue before suspension.

After termination, access rights end. On request, we will delete workspace data according to our Privacy Policy and any applicable signed agreement. The Organization should export information it needs before termination. Provisions that by their nature should survive will remain in effect, including ownership, confidentiality, payment obligations, disclaimers, liability limits, indemnity, and general terms.

To the maximum extent permitted by law, the service, documentation, AI output, beta features, and third-party services are provided "as is" and "as available". Yekar.AI disclaims all express, implied, statutory, and other warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the service will be uninterrupted, secure, accurate, or error-free. Nothing in these terms excludes a warranty that cannot lawfully be excluded.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data, arising from these terms or the service, even if advised that they were possible. Yekar.AI's total liability arising from these terms or the service will not exceed the amount the Organization paid or was required to pay for the service during the 12 months before the event giving rise to the claim or, if no fees were payable, US$100.

These limitations do not apply where prohibited by law and do not limit payment obligations, infringement or misuse of the other party's intellectual property, breach of confidentiality, indemnity obligations, fraud, wilful misconduct, or liabilities that cannot lawfully be limited.

The Organization will defend and indemnify Yekar.AI against third-party claims, damages, and reasonable costs arising from Organization Content, the Organization's agents or connected accounts, an Authorized User's breach of these terms, or use of the service in violation of law or another person's rights. Yekar.AI will promptly notify the Organization of a claim and provide reasonable cooperation. The Organization may control the defence and settlement, but may not admit liability for or impose obligations on Yekar.AI without our consent.

These terms are governed by the laws of India, without regard to conflict-of-law rules. The competent courts in India have exclusive jurisdiction over disputes arising out of or relating to these terms or the service. Before filing a claim, each party will attempt in good faith to resolve the dispute by written notice and at least 30 days of discussion, unless urgent injunctive relief is reasonably necessary.

Neither party is liable for delay caused by events beyond its reasonable control. You may not assign these terms without our prior written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. These terms do not create a partnership, agency, employment, or fiduciary relationship. If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. Headings are for convenience only. These terms and any applicable signed agreements are the entire agreement about the service and replace prior discussions on that subject.

We may update these terms as the service or legal requirements change. We will update the date at the top and provide additional notice of material changes. Changes apply prospectively from their stated effective date. Continued use after that date means you accept the updated terms. Questions and legal notices can be sent to support@yekar.ai.
